They were never negotiating price. They were negotiating who stays.
basis: conceded the multiple in two minutes, then spent eleven on one retention clause.
Standing Read holds a live file on each person you deal with, updated by every call you record — what they avoid, what they route to committee, what they keep almost saying. Every judgment quotes the line it came from.

Northgate — deal lead
They were never negotiating price. They were negotiating who stays.
Committee is his constraint, not capital.

What it does
One call tells you what someone said. Ten calls tell you how they operate.
Ten calls tell you where they hedge, what they send to committee, which subject they change. Standing Read holds that record and reads the next call against it.
Not a summary of the meeting. A read on the person in it.
A file in progress
What they said, what the read rests on, and what later calls did to it — so you walk in knowing which questions are already answered and which one still isn't.

They were never negotiating price. They were negotiating who stays.
basis: conceded the multiple in two minutes, then spent eleven on one retention clause.
Northgate's constraint is their committee, not their capital.
basis: “I'll check and revert” used three times, each on a term they had already signalled comfort with.
Nobody defended the current management team.
basis: two direct invitations to do so, both answered with process.
Bastion wants the deal closed before the quarter turns.
basis: raised timing unprompted twice, both attached to a concession he offered first.
You offered an exclusivity window. They moved past it.
basis: changed subject inside four seconds; returned to it themselves on the second call.
The exclusivity ask is about avoiding the open market.
basis: call two — “if this goes wide we're out”, unprompted.
The earn-out was never priced out loud.
basis: mentioned four times, quantified zero times, by either side.

Exhibit A — one relationship, read in full
A staged two-call negotiation, fictional counterparty. Everything below is what the engine returned, unedited.

What the silence told you
Nobody defended the current management team.
basis: two direct invitations to do so, both answered with process. 00:29:47
The earn-out was never priced out loud.
basis: mentioned four times, quantified zero times, by either side. 01:03:21
Openings they didn't take
You offered an exclusivity window. They moved past it.
basis: changed subject inside four seconds; returned to it themselves on the second call. 00:47:55
Your reference-call offer went unanswered.
basis: acknowledged, not scheduled, not declined. 01:11:02
Exhibit A — what later calls did to this one
HELD UP
Hypothesis: Bastion's exclusivity ask is about avoiding the open market.
basis: call two — “if this goes wide we're out”, unprompted. 00:14:30
CONTRADICTED
The committee meets monthly, so nothing moves before the 30th.
basis: call two — a committee decision landed in nine days; the monthly cadence was an assumption, not a statement. 00:36:18
Every section above was inferred, grounded, and — where a later call disagreed — corrected. That correction is the product.
00:00:00 — every timestamp opens the transcript at that second. Nothing here is unverifiable from inside the product.
Exhibit B — the file
Every call updates a standing read on each person: how they negotiate, what they avoid, what they keep almost saying. Behaviour becomes a hypothesis. Later calls return a verdict. Confidence is counted from verdicts, never asserted. By the tenth call you are not starting from zero.
basis: hypothesis “Bastion's exclusivity ask is about avoiding the open market” — tested by the next call, upheld, evidence quoted. Shown above in Exhibit A.
This measures the file, not the person. How much of the relationship is on the record, how often a read was corroborated by a later call, and how often it was corrected. A thin file looks thin.
Exhibit C — follow-through
Every commitment that is an email arrives drafted, bound to the promise it discharges. One click opens it in your own mail.
basis: nothing sends itself; recipients resolve only from your address book.
“I'll check” gets checked. Questions left hanging come back answered from the file where the file knows — cited — and routed to a person where it doesn't.
basis: answers quote the call and line they came from. Where the record is silent, the question is routed, not guessed.
Claims are held against the record. When Tuesday's number contradicts March's, the read says so and quotes March.
basis: both quotes shown side by side, each with its date.
Relationships run your life. Start reading them properly.
contacts, notes, last touched, deal stage. That's filing. What none of them hold is the judgment: - what this person actually wants - what they avoid - what they will never say out loud - what changed since March That judgment lives in your head, and it dies the moment you're not in the room.
Use it where the relationship runs through you.
They concede on price, then stall on one clause. The file tracks the clause, not the number.
Round-one claims, round-three confirmations, and every gap between them — quoted.
When advice tracks their own position, the record shows the overlap — and, more often, when it doesn't.
Enthusiasm is cheap and sounds identical across four calls. What changes is the questions. The file counts them.
Where this goes
Calls are where people reveal the most, so calls are where this starts.
The relationship runs through everything — the email after the call, the intro that made it happen, the person who warned you, the meeting you weren't in. The read should run through all of it too, and eventually it will.
Not yet. Today it reads calls you give it, and the file is only as good as what you've handed over. When that changes, this section changes, and the date on it will say when.
basis: nothing on this page describes a capability that does not exist today. This section is the one place we say what we intend, and it is labelled as intent.
